1. Purpose

Boho Australia and Primrose are committed to ethical business practices throughout our supply chain. We strive to improve social, ethical, and environmental standards for all our partners. Our merchandise must be produced under safe, healthy, and fair working conditions. Suppliers must demonstrate respect for workers’ rights and actively reduce their environmental impact. We value transparent and trustworthy trading relationships.

This policy outlines our ethical standards for all suppliers. It describes how we manage supplier relationships and assist suppliers in maintaining these standards. Suppliers must comply with this policy and all applicable local laws and regulations within their country of origin.

2. Ethical Standards

Boho Australia and Primrose expect suppliers to uphold the following standards, along with all associated laws and regulations:

A. Bribery and Corruption

  • Suppliers must not engage in bribery or corruption.
  • Gifts or money offered to Boho Australia employees are prohibited.
  • Attempts to influence audit results will lead to immediate termination of the supplier relationship.

B. Labor Rights

  • Employment must be freely chosen. Forced or prison labor is prohibited.
  • Workers must agree to working hours and have the right to leave at the end of their shift.
  • Workers are entitled to leave for bereavement, illness, and family events.
  • Maternity leave and other legal entitlements must be upheld.
  • Bonded labor is strictly prohibited.
  • Workers cannot be forced to lodge deposits or identity papers with employers.
  • Suppliers must not use human trafficking.

C. Freedom of Association

  • Workers have the right to join unions or workers’ organizations.
  • Where local laws restrict these rights, suppliers must provide alternative means for free association.

D. Health and Safety

  • Suppliers must provide a safe and clean work environment.
  • Worker housing (if provided) must also be safe and clean.
  • A senior manager must be responsible for health and safety.
  • Suppliers must have a plan to identify and control hazards.
  • Accidents must be recorded, and adequate medical care must be accessible.
  • Fire safety measures must be in place, and buildings must meet safety standards.
  • Disaster preparedness plans and training are required.
  • Workers must receive regular safety training.
  • Protective equipment must be provided and used.
  • Suppliers must comply with the Manufacturing Restricted Substance List.
  • Workers must have access to clean water, toilets, and food preparation areas.
  • Harassment and abuse are prohibited.

E. Child Labor

  • Suppliers cannot employ workers below the local minimum working age.
  • Suppliers must verify worker ages and keep records.
  • Young workers must comply with local laws and cannot perform hazardous work.
  • Children are not allowed in factory workshop areas.
  • Suppliers must assist underage workers found during audits with education and welfare.

F. Regular Employment

  • Suppliers must prioritize regular employment relationships as defined by local laws.
  • Suppliers cannot use loopholes (like excessive temporary contracts) to avoid legal obligations to workers.

G. Illegal Labor

  • Suppliers cannot use illegal labor.
  • Suppliers must verify workers’ legal right to work in the country.

H. Discrimination

  • Suppliers cannot discriminate based on race, nationality, religion, age, disability, gender, marital status, sexual orientation, union membership, or political views.
  • Women must not face pregnancy testing or lose maternity leave rights.
  • Suppliers must have a confidential grievance process for workers.

I. Discipline

  • All forms of physical abuse, threats, harassment, and intimidation are prohibited.
  • Disciplinary actions must be documented.

J. Environment

  • Suppliers must comply with local environmental laws.
  • Suppliers must have an environmental management plan to minimize their impact.

K. Subcontracting

  • Suppliers must disclose and get approval for all subcontractors.

L. Raw Materials Traceability

M. Air Pollution Control

  • Suppliers must comply with all air pollution control laws.
  • Suppliers must monitor and address air pollution risks for workers.

N. Lighting

  • Suppliers must provide adequate lighting for workers to perform their jobs safely.

3. Compliance with this policy

Suppliers are responsible for ensuring compliance with this policy and maintaining accurate records. Boho Australia representatives may conduct audits to verify compliance. Non-compliance will require corrective action. Failure to take corrective action may result in termination of the business relationship.
